Zenshield End User License Agreement

1. INTRODUCTION

This Zenshield End User License Agreement ("Zenshield EULA") is between you ("you" or "User") and REPOCKET PTE. LTD, a company registered under the laws of Singapore ("Repocket," "we," "us," or "our"). "Zenshield" is our consumer-facing brand. This Zenshield EULA governs your download, installation, access to, and use of the Zenshield software, including our downloadable applications for Windows and macOS, our mobile applications for iOS and Android, and our browser extension(s), together with any updates, upgrades, patches, and related documentation that we make available (collectively, the "Software"). The Software enables access to VPN connectivity and related network features operated by us (the "VPN Service").

By downloading, installing, accessing, or using the Software, you confirm that you have read, understood, and agree to be bound by this Zenshield EULA. If you do not agree, do not download, install, access, or use the Software.

This Zenshield EULA incorporates by reference our Privacy Policy and our Bandwidth Sharing Policy. These policies explain how we collect, use, and share information and how bandwidth sharing works. In the event of a conflict between this Zenshield EULA, the Privacy Policy, and the Bandwidth Sharing Policy with respect to a specific topic, the document that more specifically addresses that topic will control to the extent of the conflict.

We may update this Zenshield EULA from time to time. When we make material changes, we will take reasonable steps to notify you, such as by posting the updated Zenshield EULA on our website or displaying a notice in the Software. The "Last Updated" date at the top of the Zenshield EULA indicates when it was most recently revised. Your continued use of the Software or the VPN Service after an updated Zenshield EULA becomes effective means you accept the updates.

You may use the Software and the VPN Service only if you are at least sixteen (16) years old and have the legal capacity to enter into this agreement. By using the Software, you represent and warrant that you meet these requirements and that your use of the Software and VPN Service is permitted under applicable laws and regulations in your jurisdiction. If you do not meet the eligibility requirements, you must not use the Software or the VPN Service. Otherwise, we reserve our right to terminate or restrict your access at any time.

2. LICENSE GRANT

Subject to your ongoing compliance with this Zenshield EULA, Repocket grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Software for your own lawful purposes, solely on devices that you own or control. The Software is licensed, not sold. Except for the limited rights expressly granted to you in this Zenshield EULA, Repocket and its licensors reserve and retain all right, title, and interest in and to the Software.

Except to the extent such restrictions are prohibited by applicable law, you must not, and must not attempt to, and must not permit any third party to:

copy, reproduce, distribute, publicly display, publicly perform, republish, upload, post, transmit, or otherwise make available the Software or any portion of it, except as expressly permitted by this Zenshield EULA;
rent, lease, lend, sell, resell, sublicense, transfer, assign, or otherwise commercially exploit the Software;
modify, adapt, translate, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
bypass, disable, defeat, or circumvent any security feature, usage rule, access control, technical limitation, or protection measure in or relating to the Software;
use the Software to develop, provide, or support products or services that compete with the Software or the VPN Service, or to benchmark or copy features, except where permitted by applicable law;
use the Software in a manner that interferes with, disrupts, damages, or impairs the Software, the VPN Service, or any networks or systems connected to them;
use any automated means (including bots, scrapers, scripts, or similar tools) to access or use the Software or VPN Service in a manner that is not intended by us;
remove, alter, or obscure any proprietary notices (including copyright, trademark, or other notices) contained in the Software.

3. VPN SERVICE

The VPN Service is offered free of charge. In exchange for free access to the VPN Service, you agree to participate in bandwidth sharing as described in this Zenshield EULA and in our Bandwidth Sharing Policy. When bandwidth sharing is enabled, your device may contribute a portion of its bandwidth and may act as a network node through which other people's internet traffic may be routed ("Bandwidth Sharing"). This means that, subject to technical controls and limitations, third-party internet requests may egress through your device's connection.

You acknowledge and agree that Bandwidth Sharing may impact device performance, battery usage, data usage, and network utilization, and that you are responsible for any charges imposed by your internet service provider or mobile carrier.

We do not use the VPN Service or Bandwidth Sharing to redirect or manipulate traffic generated by other apps on your device for monetization purposes. We do not inject into, alter, or modify third-party app traffic, and we do not manipulate advertisements or ad delivery. The VPN Service is intended to provide VPN connectivity, and Bandwidth Sharing is intended to enable participation in a proxy network as described in this Zenshield EULA and the Bandwidth Sharing Policy.

We may apply technical limits to Bandwidth Sharing and/or the VPN Service, including limitations based on device type, operating system, network type, battery level, data usage, geographic location, service capacity, suspected abuse, or compliance requirements. We do not guarantee that the VPN Service or Bandwidth Sharing will be available at all times, in all locations, or without interruption.

We reserve the right to manage service capacity and protect service quality, including by limiting, throttling, queuing, deprioritizing, restricting, or suspending use of the VPN Service or Bandwidth Sharing where we reasonably determine that usage is excessive, abnormal, unfair, harmful to other users, operationally burdensome, or inconsistent with the intended operation of the Software or VPN Service.

We may suspend or restrict your access to the VPN Service or Bandwidth Sharing (in whole or in part) at any time if we believe it is reasonably necessary to:

address security or operational risks;
prevent abuse or suspected prohibited activity;
comply with law, regulation, court order, or requests from app stores/platform providers; or
protect the rights, safety, or security of Repocket, users, third parties, or the public.

4. ACCESS AND USE

Access to the VPN Service requires you to create an account. You agree to provide accurate and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not: (a) share your account with any other person; (b) allow any other person to access or use your account; (c) sell, resell, rent, lease, transfer, assign, sublicense, or otherwise make your account available to any third party; or (d) create or use accounts in a way intended to circumvent limits or restrictions.

You must use the Software and VPN Service only in compliance with this Zenshield EULA, our policies, and all applicable laws and regulations. You must not use the VPN Service to:

engage in any unlawful, fraudulent, or deceptive activity;
violate US, EU or UK sanctions or export controls, or facilitate circumvention of international sanctions;
create, transmit, access, store, or distribute child sexual abuse material or any content that exploits or endangers minors;
conduct hacking, unauthorized access, denial-of-service attacks, malware distribution, phishing, credential stuffing, or any activity that interferes with, damages, or compromises any network, device, service, or data;
infringe intellectual property rights, including copyright infringement or unauthorized downloading/sharing (including via torrenting), if prohibited by our policies;
abuse, interfere with, or unlawfully access third-party services, or violate the terms or policies of any third-party service you access using the VPN Service;
engage in unlawful surveillance or monitoring of others, or collect personal data without lawful basis or consent;
use the VPN Service in jurisdictions where VPN use is restricted or unlawful, if prohibited by our policies;
use the VPN Service in a manner that creates unreasonable load, disrupts service, or otherwise harms Repocket, our users, third parties, or the public.

The prohibited-use rules in this Zenshield EULA apply to all use of the Software and VPN Service. The Bandwidth Sharing Policy may impose additional rules and restrictions specific to Bandwidth Sharing, and any violation of the Bandwidth Sharing Policy is also a violation of this Zenshield EULA.

We may investigate suspected violations of this Zenshield EULA and may take any action we deem reasonably necessary. This includes restriction or suspension of your account, your access to the VPN Service, your participation in Bandwidth Sharing, or any feature or functionality, with or without prior notice.

5. SOFTWARE AND SERVICE CHANGES

Features and functionality of the Software may vary by platform, device, operating system, and Software version, and we do not guarantee that all features will be available on all platforms. We may provide updates, upgrades, patches, or modifications to the Software (including automatic updates where permitted by your device or platform settings). This Zenshield EULA applies to all such updates. You may not be able to continue using the Software and VPN Service unless you install or accept certain updates.

From time to time, we may also make available features, tools, or functionality designated as "beta", "preview" or similar. Such features may be incomplete, unstable, contain errors, be unavailable at times, or be modified, suspended, or withdrawn at any time.

Separately, we may, at any time, modify, update, limit, suspend, withdraw, replace, or discontinue the Software, the VPN Service, Bandwidth Sharing, the free service offering, or any feature, functionality, or part of them, temporarily or permanently, where we consider it reasonably necessary for technical, operational, security, legal, regulatory, compliance, platform, third-party dependency, abuse-prevention, or business reasons. We will take reasonable steps to provide notice of a material modification, suspension, withdrawal, or discontinuation.

6. TERMINATION

We may terminate or suspend your account, your access to the VPN Service, your participation in Bandwidth Sharing, and/or the license granted under this Zenshield EULA if: (a) you breach this Zenshield EULA or any Policy incorporated into it; (b) we reasonably consider your use to create security, operational, legal, compliance, sanctions, reputational, or public-safety risk; (c) we are required or requested to do so in order to comply with applicable law, regulation, court order, subpoena, governmental request, or app store, browser store, platform provider, or third-party provider requirement; or (d) we modify, suspend, withdraw, or discontinue the Software, the VPN Service, or the free service offering. We may also suspend or delete free accounts that remain inactive for a prolonged period of more than 12 months.

You may terminate this Zenshield EULA at any time by stopping all use of the Software and the VPN Service, uninstalling or removing the Software from your devices, and deleting your account through the Software where that functionality is available, or by contacting support to request account deletion.

Upon any suspension or termination of this Zenshield EULA, or of your account, license, access to the VPN Service, or participation in Bandwidth Sharing, the rights and licenses granted to you under this Zenshield EULA will immediately cease. Suspension or termination will not affect any rights, remedies, obligations, or liabilities accrued before the effective date of the suspension or termination. You must immediately stop using the affected Software, VPN Service, Bandwidth Sharing, and related functionality. We will have no obligation to preserve, store, restore, forward, or continue making available your account, account data, content, settings, or other information after suspension, termination, account deletion, or discontinuation of the Software or VPN Service.

If you believe your account or access was suspended or terminated in error, you may contact support to request review. We may, but are not obligated to, review and reconsider any suspension or termination. Nothing in this paragraph requires us to restore access where we consider continued suspension or termination reasonably necessary.

7. THIRD-PARTY TERMS

If you download the Software from, or use the Software on, a third-party platform or app marketplace like Apple App Store, Google Play, Microsoft Store or a browser extension store, your download and use of the Software may also be governed by that platform's terms, policies, and rules. To the extent permitted by applicable law, Repocket is not responsible for such third party platform terms, and does not control any platform's features, availability, review decisions, payment systems (if any), or enforcement actions.

If the Software contains links to third-party websites or resources, those links are provided for convenience only. We do not control and are not responsible for third-party websites, content, products, or services.

The Software and VPN Service may depend on or interoperate with third-party platforms, app stores, browser stores, operating systems, hosting providers, cloud providers, network providers, connectivity providers, infrastructure providers, device manufacturers, and other third-party services or technologies. To the maximum extent permitted by applicable law, Repocket is not responsible for any unavailability, outage, restriction, incompatibility, delay, degradation, policy change, access decision, enforcement action, or other act or omission of any such third party that affects the Software, the VPN Service, or Bandwidth Sharing.

8. INTELLECTUAL PROPERTY

The Software, the VPN Service, and all related content, features, functionality, and technology (including all software code, user interfaces, designs, trademarks, logos, and documentation) are owned by Repocket and/or its licensors and are protected by intellectual property and other laws. All rights not expressly granted to you in this Zenshield EULA are reserved by Repocket and its licensors.

"Zenshield," "Repocket," and any related names, logos, and product and service names are trademarks of Repocket and/or its licensors. You may not use our trademarks without our prior written permission, except as required by law.

If you submit suggestions, ideas, feedback, or other information about the Software or VPN Service, you agree that we may use, reproduce, modify, distribute, and otherwise exploit the feedback for any purpose, without restriction and without compensation to you. Feedback is voluntary and not confidential.

9. DISCLAIMERS

To the maximum extent permitted by applicable law, the Software and the VPN Service are provided "as is" and "as available". Repocket gives no representations, conditions or warranties of any kind, whether express, implied, statutory or otherwise, including any implied terms as to satisfactory quality, fitness for purpose, title and non-infringement. Without limiting aforesaid, you acknowledge and agree that:

use of a VPN does not guarantee anonymity and Repocket does not warrant that your identity or activities cannot be correlated to you by third parties;
Repocket does not warrant that the Software or the VPN Service will be continuous, uninterrupted, timely, secure or error-free, or that any particular content, website or online service will be accessible at all times;
you are responsible for ensuring that your access to and use of the Software and the VPN Service is lawful in your jurisdiction and Repocket does not provide legal advice;
Repocket is not responsible for throttling, blocking or other restrictions imposed by any internet service provider, mobile carrier, employer, school, network administrator or other third party; and
while Repocket implements reasonable safeguards, no system is completely secure.

10. LIMITATION OF LIABILITY

Repocket shall not be liable for any indirect or consequential loss, or any loss of profit, revenue, business, goodwill, data or use, arising out of or in connection with this Zenshield EULA, the Software or the VPN Service. Repocket's total aggregate liability to you for all claims arising out of or in connection with this Zenshield EULA, the Software or the VPN Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed USD 10. If you have paid any fees to Repocket for the Software or the VPN Service in the twelve (12) months before the event giving rise to the claim, Repocket's total aggregate liability shall instead be limited to the greater of USD 10 and the total fees paid by you in that period.

Repocket shall not be liable for any loss arising from or relating to network routing, bandwidth sharing, performance impacts, service interruptions, downtime, or third-party internet traffic that may route through a user device as part of bandwidth sharing, except to the extent such liability cannot be excluded under applicable law.

Nothing in this Zenshield EULA excludes or limits any liability which cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or liability for fraud.

You acknowledge that the exclusions and limitations in Sections 9 and 10 are a fundamental basis of the bargain. If you are dealing as a consumer and applicable consumer protection laws apply, nothing in this Zenshield EULA affects any statutory rights which cannot be excluded or limited by contract. In such circumstances, Repocket's liability shall be limited to the minimum extent permitted by applicable law.

To the maximum extent permitted by applicable law, the remedies expressly provided for under this Zenshield EULA are your sole and exclusive remedies arising out of or in connection with the Software, the VPN Service, Bandwidth Sharing, and this Zenshield EULA.

11. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Repocket, its affiliates, and their respective directors, officers, employees, contractors, agents, successors, and assigns from and against any and all third-party claims, alleged claims, threatened claims, demands, complaints, actions, proceedings, investigations, inquiries, liabilities, damages, judgments, awards, settlements, penalties, fines, losses, costs, and expenses of any kind, including reasonable legal fees and expenses, arising out of, relating to, or alleged to arise out of or relate to: (a) your breach of this Zenshield EULA or any Policy incorporated into it; (b) your unlawful, fraudulent, abusive, or prohibited use of the Software, the VPN Service, or Bandwidth Sharing; (c) your violation of any applicable law or regulation in connection with such use; or (d) your violation of any rights of a third party.

Repocket may participate in the defense of any matter subject to indemnification under this Section with counsel of its own choosing at your expense to the extent permitted by applicable law, and you will not settle any such matter in a manner that imposes any liability, obligation, or admission on Repocket without Repocket's prior written consent, not to be unreasonably withheld.

This section does not apply to the extent that any claim, loss, damage, liability, cost, or expense results from Repocket's own fraud, wilful misconduct, breach of this Zenshield EULA, negligence, or any liability that cannot be excluded or limited under applicable law.

Your obligations under this Section survive any suspension, termination, expiration, account deletion, or discontinuation of the Software, the VPN Service, or Bandwidth Sharing.

12. GENERAL

a. Governing law.

This Zenshield EULA and any dispute or claim, including any non-contractual dispute or claim, arising out of or in connection with it, the Software or the VPN Service shall be governed by and construed in accordance with the laws of Singapore, excluding its conflict of laws rules.

b. Jurisdiction.

Any dispute, controversy or claim arising out of or relating to this Zenshield EULA, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC), which rules are deemed to be incorporated by reference into this clause. The tribunal shall consist of one arbitrator. The language of arbitration shall be English.

c. Severability.

If any provision of this Zenshield EULA is held to be invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion under this clause shall not affect the validity and enforceability of the rest of this Zenshield EULA.

d. Survival.

Any provision of this Zenshield EULA which by its nature is intended to survive suspension, expiration, or termination of this Zenshield EULA shall survive, including provisions relating to intellectual property, feedback, disclaimers, limitations of liability, indemnity, governing law, arbitration, severability, waiver, and any accrued rights or obligations.

e. Assignment.

You shall not assign, transfer, charge or otherwise deal in any of your rights or obligations under this Zenshield EULA without Repocket's prior written consent. Repocket may assign, transfer, charge or otherwise deal in its rights and obligations under this Zenshield EULA (in whole or in part) to any affiliate or in connection with any merger, acquisition, reorganisation or transfer of assets or business.

f. Force majeure.

Repocket shall not be liable for any failure or delay in performing its obligations under this Zenshield EULA to the extent that such failure or delay results from an event or circumstance beyond Repocket's reasonable control.

g. Entire agreement.

This Zenshield EULA, together with the Bandwidth Sharing Policy and any other terms expressly incorporated by reference, constitutes the entire agreement between you and Repocket in relation to the Software and the VPN Service and supersedes all prior agreements, arrangements, communications and understandings.

h. Waiver.

No failure or delay by Repocket to exercise any right or remedy under this Zenshield EULA shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy prevent any further exercise of that or any other right or remedy. Any waiver shall be in writing and signed by Repocket.

i. Interpretation.

Headings are for convenience only and shall not affect interpretation. References to "including" shall mean "including without limitation".
